These Terms and Conditions (“Terms”) govern the provision of services by SR7 Web Design (“we,” “us,” “our”) to you (“the Client,” “you,” “your”). By engaging our services, you agree to be bound by these Terms in full.

Please read these Terms carefully before commissioning any work. If you have any questions, please contact us before proceeding.

 

SR7 Web Design provides the following services:

  • Professional website design and development
  • Website hosting and management packages
  • Honest advice and consulting on online presence strategy

Our services are primarily offered to local businesses within North East England, with a particular focus on the SR7 postcode area and surrounding regions.

 

3.1. All quotations provided are valid for a period of 30 days from the date of issue unless otherwise stated in writing.

3.2. Quotations are based on the information provided by the Client at the time of enquiry. Should the scope of work change, we reserve the right to adjust the quoted price accordingly.

3.3. All prices are quoted in British Pounds Sterling (拢) and are exclusive of VAT unless otherwise stated.

 

4.1. Website Design and Development

4.1.1. A deposit of 50% of the total project cost is required before any work commences. This deposit is non-refundable.

4.1.2. The remaining 50% balance is due upon completion of the website and before the site is made live or transferred to the Client.

4.1.3. Payment must be received within 14 days of the invoice date unless otherwise agreed in writing.

4.2. Hosting and Management Packages

4.2.1. All hosting and management packages are subject to a minimum term of 12 months from the date of activation.

4.2.2. Hosting fees are payable monthly in advance by the agreed payment method.

4.2.3. Hosting payments have a 14-day grace period. If payment is not received within 14 days of the due date, we reserve the right to suspend hosting services. The website may be taken offline until the outstanding balance is cleared.

4.2.4. Reactivation of suspended services may be subject to a reconnection fee.

 

5.1. The Client is responsible for providing all content required for the website, including but not limited to text, images, logos, and any other materials (“Client Content”).

5.2. Client Content must be provided within 30 days of the project start date or the date requested by SR7 Web Design, whichever is later.

5.3. If Client Content is not provided within 30 days, we reserve the right to:

  • Invoice for all work completed to date, with payment due within 14 days; and/or
  • Place the project on hold until content is received; and/or
  • Terminate the project, retaining any deposits paid.

5.4. The Client warrants that all Client Content provided is owned by the Client or that the Client has obtained all necessary permissions and licences, and that such content does not infringe upon the intellectual property rights of any third party.

5.5. The Client shall indemnify SR7 Web Design against any claims, costs, or damages arising from the use of Client Content.

 

6.1. Upon receipt of full payment, the Client shall own the visual design and “look and feel” of their completed website.

6.2. SR7 Web Design retains ownership of:

  • All underlying code, frameworks, templates, and development tools used in the creation of the website;
  • Any proprietary systems, processes, or methodologies;
  • The hosting infrastructure and server configurations.

6.3. SR7 Web Design reserves the right to display the completed website in our portfolio and to include a discreet credit link (e.g., “Website by SR7 Web Design”) in the footer of the website unless otherwise agreed in writing.

6.4. The Client may not resell, redistribute, or claim ownership of any SR7 Web Design code, templates, or proprietary systems.

 

7.1. Our website packages include a reasonable number of revisions as specified in your individual quotation or contract.

7.2. Additional revisions or changes requested outside the original scope of work may be subject to additional charges, which will be communicated and agreed upon before work proceeds.

7.3. Revision requests must be communicated clearly in writing (email is acceptable).

 

8.1. Any timelines or deadlines provided are estimates only and are dependent upon the timely provision of Client Content and feedback.

8.2. SR7 Web Design shall not be held liable for any delays caused by the Client’s failure to provide content, feedback, or approvals in a timely manner.

 

9.1. Termination by the Client

9.1.1. The Client may terminate a website design project at any time by providing written notice. However, no refund of the deposit will be provided, and the Client shall be liable for payment of all work completed up to the date of termination.

9.1.2. Hosting and management packages may be terminated at the end of the minimum 12-month term by providing 30 days’ written notice. Early termination within the minimum term will require payment of the remaining balance for the full 12-month period.

9.2. Termination by SR7 Web Design

9.2.1. We reserve the right to terminate any project or service if:

  • Payment is not received in accordance with these Terms;
  • The Client fails to provide required content or feedback within a reasonable timeframe;
  • The Client behaves in an abusive, threatening, or unreasonable manner towards our staff;
  • The Client requests that we include content that is illegal, defamatory, or otherwise objectionable.

9.2.2. In the event of termination by SR7 Web Design due to Client breach, no refunds will be provided.

 

10.1. SR7 Web Design shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, or business opportunities.

10.2. Our total liability for any claim arising from our services shall not exceed the total amount paid by the Client for the specific service giving rise to the claim.

10.3. SR7 Web Design is not responsible for any losses arising from:

  • Downtime or interruptions to hosting services caused by factors beyond our reasonable control;
  • Third-party services, plugins, or integrations;
  • The Client’s own actions or omissions;
  • Cyber-attacks, hacking, or data breaches, provided we have taken reasonable security precautions.

10.4. While we take reasonable care to ensure websites are functional and secure, we do not guarantee that websites will be error-free, uninterrupted, or free from vulnerabilities.

 

11.1. Both parties agree to keep confidential any proprietary or sensitive information disclosed during the course of the working relationship.

11.2. This obligation shall survive the termination of any contract between the parties.

 

12.1. Websites may incorporate third-party services, tools, or integrations (e.g., domain registrars, payment gateways, analytics tools). SR7 Web Design is not responsible for the performance, availability, or terms of any third-party services.

12.2. The Client is responsible for complying with the terms and conditions of any third-party services used in connection with their website.

 

13.1. SR7 Web Design shall not be held liable for any failure or delay in performing our obligations where such failure or delay results from circumstances beyond our reasonable control, including but not limited to natural disasters, acts of government, pandemics, internet outages, or utility failures.

 

14.1. These Terms shall be governed by and construed in accordance with the laws of England and Wales.

14.2. Any disputes arising from these Terms or our services shall be subject to the exclusive jurisdiction of the courts of England and Wales.

 

15.1. SR7 Web Design reserves the right to update or amend these Terms at any time. Updated Terms will be posted on our website with a revised “Last Updated” date.

15.2. Continued use of our services following any changes constitutes acceptance of the revised Terms.

 

16.1. If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.

 

17.1. These Terms, together with any individual quotation, proposal, or contract, constitute the entire agreement between SR7 Web Design and the Client and supersede any prior agreements, representations, or understandings.
